These Terms & Conditions ("Terms") govern your access to and use of the Portico Investments website, rental listings, inquiry forms, communications, and other online services made available through this website (collectively, the "Website").

"Portico," "Portico Investments," "we," "us," and "our" refer to Portico Investments, LLC, doing business as Portico Investments, and, where applicable, its authorized agents and representatives.

By accessing or using the Website, you agree to these Terms. If you do not agree with these Terms, please do not use the Website.

These Terms govern use of the Website. They do not replace or modify the terms of a rental application, lease, property management agreement, or other separate written agreement.

The Website provides information about rental properties that may be available through Portico and allows prospective renters to:

Property availability, rental rates, security deposits, fees, concessions, lease terms, amenities, utilities, move in dates, eligibility requirements, and other information may change without notice, subject to applicable law.

Portico makes reasonable efforts to provide accurate and current information. However, a property appearing on the Website does not guarantee that the property remains available.

Submitting an inquiry, requesting a tour, joining a waiting list, communicating with Portico, or otherwise expressing interest in a property:

A rental relationship is established only through the applicable agreements and processes required by Portico and applicable law.

3. Rental Rates, Fees and Other Charges

Rental rates and other financial information displayed on the Website are subject to applicable terms, qualifications, and availability.

Where fees, charges, concessions, discounts, or other financial terms apply, additional information may be provided in the listing, application materials, lease documents, or other required disclosures.

Portico will not knowingly use Website information to misrepresent material terms of a rental transaction.

This matters particularly in D.C. because its Consumer Protection Procedures Act establishes a right to truthful information in consumer transactions, including leases, and prohibits specified deceptive and unconscionable practices.

4. Photographs, Videos, Floor Plans and Property Information

Photographs, videos, floor plans, renderings, dimensions, square footage, descriptions, maps, and other property information are intended to provide prospective renters with general information.

Unless expressly stated otherwise:

Some photographs or images may be digitally enhanced, virtually staged, rendered, or otherwise modified and may not depict the property's current condition.

Prospective renters should review the specific property and confirm information material to their rental decision before signing a lease.

5. Property Tours

Prospective renters may be able to request or schedule property tours through the Website.

Tour availability is not guaranteed and may be subject to confirmation, rescheduling, cancellation, occupancy, maintenance, weather, access restrictions, or other circumstances.

Where feasible, prospective renters are encouraged to inspect a property before entering into a lease.

If a property is occupied, users must respect the privacy of existing residents and follow all instructions provided by Portico regarding access.

6. Rental Applications

Submitting an inquiry through the Website is not the same as submitting a rental application.

If you choose to apply for a property, you may be required to complete a separate rental application and provide additional information.

An application is not approved until Portico or the applicable housing provider communicates approval in accordance with its application process.

Application processing and screening will be conducted subject to applicable federal and District of Columbia law.

7. Fair Housing and Equal Housing Opportunity

Portico is committed to providing housing opportunities in accordance with applicable federal and District of Columbia fair housing and anti discrimination laws.

Portico does not intend to discriminate unlawfully in the advertising, availability, application, leasing, terms, conditions, or provision of housing.

Federal law prohibits discriminatory housing advertising based on race, color, religion, sex, disability, familial status, or national origin.

The District of Columbia provides broader protections. D.C. law prohibits specified discrimination in real property transactions based on actual or perceived characteristics including race, color, religion, national origin, sex, age, marital status, personal appearance, sexual orientation, gender identity or expression, familial status, family responsibilities, disability, matriculation, political affiliation, source of income, sealed eviction record, status as a victim of an intrafamily offense, place of residence or business, and homeless status.

Nothing on this Website is intended to express an unlawful preference, limitation, or discrimination concerning prospective renters.

Marketing email communications may include an unsubscribe mechanism where required.

Unsubscribing from marketing communications does not necessarily prevent Portico from sending transactional or service related communications regarding an active inquiry, application, lease, payment, maintenance issue, legal notice, or other existing relationship where such communications are otherwise permitted.

11. SMS / Text Message Terms

Consent to Receive Text Messages

If you affirmatively opt in to Portico's text messaging program, you agree to receive text messages from Portico Investments at the mobile telephone number you provide.

Messages may concern:

Consent to receive text messages is voluntary and is not a condition of renting, purchasing, or receiving services from Portico Investments.

Message Frequency

Message frequency varies depending on your interactions with Portico, your rental inquiry, properties of interest, and available rental opportunities.

Message and data rates may apply according to your wireless carrier and service plan.

Portico does not charge a separate fee for receiving Portico text messages.

Opting Out

You may withdraw your consent to receive Portico text messages at any time.

You may opt out by replying STOP or UNSUBSCRIBE to a Portico text message.

The FCC recognizes STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, and UNSUBSCRIBE sent by reply text as reasonable methods of revoking consent for covered communications.

Portico will process reasonable opt out requests in accordance with applicable law.

After an opt out request, you may receive a limited nonmarketing communication confirming or clarifying your request where permitted by applicable law.

Mobile Number Ownership

By providing a mobile telephone number, you represent that you are authorized to provide that number and receive communications at that number.

If you change, deactivate, transfer, or relinquish the mobile number provided to Portico, please notify us promptly so communications intended for you are not sent to another person.

Carriers and Delivery

Wireless carriers are not liable for delayed or undelivered messages.

Message delivery depends on wireless carrier networks and other systems outside Portico's control. Portico cannot guarantee that every message will be delivered.

Personal information collected in connection with Portico's text messaging program is handled in accordance with our Privacy Policy.

Portico does not sell or rent your mobile telephone number or SMS consent information to third parties for their own marketing or promotional purposes.

Maps, commute information, neighborhood information, nearby businesses, schools, transit information, ratings, scores, and similar information displayed on or linked from the Website may originate from third parties.

Such information is provided for general convenience and may be incomplete, inaccurate, or outdated.

Prospective renters should independently investigate neighborhood characteristics and other matters that are important to their housing decision.

Portico does not intend to steer prospective renters toward or away from a property or neighborhood based on a characteristic protected by applicable fair housing law.

HUD's digital advertising guidance specifically cautions housing providers and platforms against targeting or steering consumers based on protected characteristics.

15. Intellectual Property

Unless otherwise indicated, the Website and its content, including text, photographs, graphics, logos, designs, layout, software, and other materials, are owned by, licensed to, or used with permission by Portico and are protected by applicable intellectual property laws.

You may view and use Website content for your personal, noncommercial use in evaluating Portico rental properties and services.

Nothing in this section permits Portico to disclaim responsibility for an obligation or liability that cannot lawfully be waived or limited.

19. No Modification of Lease or Tenant Rights

The Website and these Terms do not modify a fully executed lease or other written agreement between Portico, a property owner, and a tenant or applicant.

If these Terms conflict with a fully executed lease or another applicable written agreement, the applicable agreement controls with respect to the subject matter of that agreement, subject to applicable law.

Nothing in these Terms is intended to waive, restrict, or eliminate a tenant's, applicant's, or consumer's rights that cannot lawfully be waived.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Portico will not be liable for indirect, incidental, special, or consequential damages arising solely from your use of or inability to use the Website.

This limitation does not apply to liability that cannot lawfully be excluded or limited.

Nothing in these Terms limits any right or remedy available under applicable landlord tenant, fair housing, consumer protection, privacy, or other law where such right or remedy cannot legally be waived.

Drafting note (not part of the published Terms): "I prefer this narrower formulation for Portico rather than the sweeping liability waivers commonly copied into website templates, particularly because D.C. consumer law expressly addresses unconscionable terms in consumer leases and transactions."

21. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses or claims arising directly from your unlawful misuse of the Website or your intentional violation of these Terms.

This provision does not require you to indemnify Portico for Portico's own unlawful conduct, negligence, or other liability that cannot legally be shifted to you.

22. Changes to the Website

Portico may change Website content, listings, functionality, and services from time to time.

Such changes do not modify an existing executed lease unless the lease itself and applicable law permit the modification.

23. Changes to These Terms

Portico may update these Terms periodically to reflect changes in its Website, services, business practices, technology, or applicable law.

The revised Terms will be posted on the Website with an updated "Last Updated" date.

Changes will apply prospectively as appropriate and will not retroactively alter an executed lease or other agreement except as permitted by the agreement and applicable law.

24. Electronic Communications and Transactions

You consent to conducting Website interactions electronically when you choose to use the Website's electronic features.

Electronic communications, records, submissions, and signatures may have legal effect where permitted by applicable law.

The District of Columbia has adopted the Uniform Electronic Transactions Act, which recognizes electronic records, signatures, and automated transactions under specified circumstances.

Nothing in these Terms requires you to conduct a transaction electronically where applicable law gives you the right to use another method.

25. Governing Law

These Terms and your use of the Website shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of laws principles, except to the extent applicable federal law or another law that cannot lawfully be waived or modified applies.

Nothing in these Terms is intended to waive or limit any rights or protections that cannot lawfully be waived under applicable federal, District of Columbia, state, or local law.

26. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the extent necessary to comply with applicable law, where legally permissible.

The remaining provisions will continue in effect to the extent permitted by law.

27. No Waiver

Portico's failure to enforce a provision of these Terms on one occasion does not necessarily waive its right to enforce that provision on another occasion.

No waiver will be effective to the extent prohibited by applicable law.

28. Entire Website Terms

These Terms, together with Portico's Privacy Policy and any other policies or notices expressly incorporated into these Terms, constitute the terms governing use of the Website.

They do not supersede a rental application, lease, or other separate agreement governing a rental transaction except where that separate agreement expressly provides otherwise.
